Freeths’ Venture Capital team has advised Perci Health Ltd, a high-growth medical tech company, on its private seed investment. The investment was made through a share subscription by a select group of high net worth individuals working in the medical industry.

Our Client

Perci Health Ltd is an early-stage company seeking to change the lives of those living with cancer. Using its technology-enabled platform, Perci Health bridges the gap between cancer and wellness by providing access for its users to leading cancer professionals including dietitians, physiotherapists, psychologists and sexual medicine practitioners.

Perci Health is female-founded – the CEO being a cancer care specialist and the CXO a marketing expert. Freeths was first approached by the founders in 2020 to advise and support on various commercial, intellectual property and regulatory matters vital to all new technology companies, and has continued to advise the company on all of its legal requirements.

The Deal

Working alongside the founders, the Freeths’ Venture Capital team created an investment structure to enable an initial funding round of £1.5million from 30 investors. Putting the deal together, Freeths created a documentation package which included a subscription agreement for the new investors, a shareholders agreement and new articles of association.

In addition, we provided a user-friendly and easy-to-navigate suite of template documents for all of Perci Health’s future seed investments. The company can now focus on growth in the most efficient way without the need for further negotiations.
