About Emily
Emily is a Senior Associate in the Tax team in our Leeds office. She advises on a broad range of tax advisory and transactional matters, focusing on corporate and real estate tax. Her experience includes advising on all tax aspects of corporate acquisitions and disposals, joint ventures, tax structuring and group reorganisations, direct and indirect real estate transactions including sales, acquisitions, foreign property holding structures, forward funding transactions and development structures (notably in the education, care and technology sectors).
She is regularly involved in advising private equity investors, real estate developers, public sector bodies, charities, educational institutions and multinational companies on high-value and complex mandates.

Recent highlights include advising:
- on the tax implications of a £100M+ indirect plus direct real estate acquisition of a group of premium branded (operating and tenanted) hotels, immediate new group re-gearing and reorganisation, followed by same-day back-to-back divestment of part of acquired targets to a third party;
- on the cross-border sub-sale of a commercial industrial site and hydraulic press-line involving Ireland, Germany, Canada and the UK;
- local authorities on various public sector projects, including transport infrastructure agreements, social housing, and VAT implications of grant funding arrangements;
- on the group restructure of a £120M+ manufacturing business, including the creation and implementation of several trading companies, the transfer of assets intra-group and obtaining the relevant HMRC clearances;
- on the sale of a top energy assessment business to a private equity house-backed buyer, including unwinding and reimplementing a failed demerger, obtaining Court approval and a complex transfer of the trade and assets to a newly incorporated Newco;
- regularly on SDLT, VAT and direct tax for property transactions, including TOGC transactions, portfolio sales, development agreements and Prudential structuring for Freeths’ largest institutional clients; and
- on various private equity investments, including tax structuring and negotiating tax provisions in investment documents.
