About our expertise with contracts
Our understanding of the industry means that we know what the key points are to look out for to safeguard your interests when entering agreements with wholesalers, retailers and suppliers.
A specific example of this expertise was demonstrated in a substantial transaction we handled for a regional brewer in their acquisition of high profile brands from an International brewing company, involving the transfer of many hundreds of trade marks in more than 12 jurisdictions worldwide. Ongoing distribution and trading arrangements required the drafting, negotiating and settling of distribution, brewing, technical services and transitional services agreements as well as a significant new bank facility agreement to fund the deal.
Another area of expertise is advising on free trade loans and associated documentation, as well as consumer credit issues for brewers. Allied to this we can also help with disputes arising from secured loans and recovery of both secured and unsecured loans. Where you find you are faced with contractual or other commercial disputes our team can also help. Common issues which we have dealt with include, for example, wrongful termination of distribution agreements with outsourced logistics contracts.
